Context
NAWI Europe was contacted by a client, a small developer getting ready to sell homes in a new project in Prague. The project involved a building with 37 apartments, including garage spaces, basements, and garden plots for some of the apartments. The client needed a complete set of legal documents and support from the reservation stage to the actual transfer of the properties to their future owners.
Tasks
  • Create reservation agreements that are legally sound and flexible for business.
  • Create preliminary and final purchase agreements.
  • Set up the rules for what the client and buyers can and can't do, including how and when they'll pay and what will happen during construction.
  • We promise to keep your property safe and make sure that construction is finished on time.
  • Make sure the legal process for transferring ownership of individual apartments is smooth. This includes managing documents and communicating with the cadastral office.
Legal analysis and procedure
  • We made an overview of the legal risks for development projects like this.
  • We prepared a sample reservation agreement that can be adapted based on the type of property (with a garage, basement, garden plot, etc.).
  • The agreements included rules about keeping part of the purchase price (to be paid after the transfer of the property) and about penalties for delays in commissioning or transfer.
  • The documentation provided includes instructions for filing complaints, determining who is responsible for defects, and understanding the warranty period, as outlined in the Civil Code of the Czech Republic.
  • We made plans for different situations, like changes to the construction schedule or problems that are out of the developer's control (like natural disasters).
Key point
The client specifically mentioned that we created a logical structure for legal communication with buyers as part of the documentation. This structure included FAQs for common questions and instruction manuals. This made it possible to prevent legal disputes before they arose.
result
  • All properties were reserved and successfully sold using NAWI's legal documents.
  • There were no legal problems during construction and transfer of the properties.
  • The client kept their professional reputation and moved on to the next project without any problems.
  • The contract documents were also used for later development stages in other places as a tried-and-true, modified template.
“For me, as a small developer, it was important to have peace of mind and confidence that all situations were legally regulated. Thanks to NAWI, I had no problems with clients, and the entire process was clear and controllable.”
