Context
The client, the owner of a well-known Ukrainian IT company, approached us with the goal of relocating his business to Prague. He required comprehensive legal, accounting, and financial support throughout the process. The plan was to relocate 57 existing employees and hire an additional 23 specialists from Europe. The goal was to establish a stable business foundation in the Czech Republic eliminating the need for the client’s personal involvement in operational and administrative details.
Tasks
- Establish a new company in the Czech Republic and develop an appropriate organizational structure.
- Open a corporate bank account and conduct an AML check of capital sources.
- Create an investment mechanism for transferring funds from Ukraine.
- Prepare employment contracts, internal regulations, GDPR documentation, confidentiality agreements, and intellectual property regulations.
- Secure office space for 81 workstations and negotiate commercial terms.
- Develop general commercial terms for working with clients, including protection against payment delays, IP determination, and liability.
- Take on full accounting and tax support for the company.
- Ensure the relocation of all employees, including visa processing, individual assessments, and submission of applications for blue cards and employee cards.
Legal Analysis and Procedure
- We established the company and prepared its legal structure, including the founding documents.
- We opened a bank account and confirmed the origin of funds in accordance with anti-money laundering (AML) requirements.
- We prepared a complete set of labor relations documents, including all mandatory and recommended provisions.
- We negotiated more favorable leasing terms, including a rent-free period and a discount from the initial offer. We also conducted a final review of the contract.
- We developed general commercial terms with a penalty mechanism for late payments and a clear definition of liability and IP.
- We took over all accounting and tax support for the client.
- We assessed the visa situation of each employee individually and applied for blue cards, employee cards, and temporary protection where necessary.
Key point
The key was establishing several important processes simultaneously: legal establishment, capital transfer, employment contracts, and the visa process. Thanks to the coordination of all stages, the company was able to start operations in record time.

- The company was officially registered and launched, including a bank account and authorized capital.
